Sentiance Insights — Terms and Conditions

These Terms and Conditions ("Terms") govern the access to and use of the SENTIANCE INSIGHTS application, platform, software, APIs, dashboards, websites, and related digital services (collectively, the "Services") provided by Sentiance NV, with registered offices at Michel de Braeystraat 52, 2000 Antwerp, Belgium ("Company", "we", "our", or "us").

By downloading, installing, registering for, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must immediately stop using the Services.

1. Definitions

For purposes of these Terms, the following capitalized terms shall have the meanings set out below:

  • "Account" means a registered account created by an End User to access or use certain functionalities of the Services.
  • "Application" means the mobile application, web application, software platform, APIs, dashboards, interfaces, and related digital tools made available by the Company as part of the Services.
  • "Applicable Law" means all laws, regulations, regulatory requirements, industry standards, court orders, and legally binding obligations applicable to the Services, the Company, or the End User.
  • "Company", "we", "our", or "us" means Sentiance NV, including its affiliates, subsidiaries, and authorized service providers where applicable.
  • "Content" means any information, text, graphics, images, reports, analytics, scores, recommendations, audio, video, software, or other materials made available through the Services.
  • "Customer" means a legal entity, insurer, employer, mobility provider, fleet operator, business partner, or other organization that may provide End Users with access to the Services or use the Services in connection with its business activities.
  • "Device" means a smartphone, tablet, wearable device, vehicle system, onboard unit, sensor, or other hardware capable of accessing, supporting, or interacting with the Services.
  • "End User" or "you" means any individual accessing, downloading, registering for, or using the Services.
  • "Insights" means analytics, predictions, scores, recommendations, behavioral assessments, driving-related information, or other outputs generated through the Services based on data collected or processed by the Application.
  • "Personal Data" means any information relating to an identified or identifiable natural person, as defined under Applicable Law.
  • "Privacy Policy" means the Company's privacy policy describing how Personal Data is collected, used, processed, stored, shared, and protected in connection with the Services. It can be found at: https://sentiance.com/insights-privacy-policy.
  • "SDK" means any software development kit, library, integration module, code package, or technical component made available by the Company for integration with applications, systems, Devices, or Third-Party Services.
  • "Services" means the Application and all related functionalities, features, telematics services, analytics, APIs, integrations, websites, support services, and digital offerings provided by the Company.
  • "Telematics Data" means mobility-related, vehicle-related, sensor-based, location-based, or behavioral information collected, inferred, generated, or processed through the Services, including information relating to trips, driving behavior, motion, speed, acceleration, braking, Device movement, or vehicle usage.
  • "Third-Party Services" means products, services, technologies, software, platforms, applications, websites, operating systems, connected vehicle systems, or infrastructure provided by third parties and integrated with or used in connection with the Services.
  • "Vehicle" means any car, truck, motorcycle, scooter, bicycle, micro-mobility device, or other transportation asset used in connection with the Services.

2. Eligibility

The Services may only be used by individuals who:

  • are at least eighteen (18) years old or have reached the legal age of majority under Applicable Law;
  • possess legal capacity to enter into binding agreements;
  • are not prohibited from using the Services under Applicable Law.

If you use the Services on behalf of a Customer or another legal entity, you represent and warrant that you are authorized to bind such entity to these Terms.

3. License to Use the Services

Subject to compliance with these Terms, the Company grants the End User a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Services for their intended purposes.

Except as expressly permitted under Applicable Law, the End User shall not:

  • copy, reproduce, distribute, or commercially exploit the Services;
  • modify, adapt, translate, or create derivative works;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive source code;
  • circumvent technical restrictions or security mechanisms;
  • access the Services through unauthorized means;
  • interfere with integrity, security, or operation of the Services;
  • use the Services unlawfully or in violation of third-party rights.

All rights not expressly granted under these Terms remain reserved by the Company.

4. Account Registration

Certain functionalities of the Services may require registration of an Account.

The End User agrees to: provide accurate and complete information; maintain and promptly update Account information; maintain confidentiality of credentials; and notify the Company promptly of unauthorized use or security incidents involving the Account.

The End User is responsible for activities conducted through the Account unless caused by the Company's failure to implement reasonable security measures.

The Company reserves the right to suspend, restrict, or terminate Accounts in accordance with these Terms or Applicable Law.

5. Services and Functionality

The Services may include:

trip detection and recording;

  • telematics functionality;
  • mobility and driving analytics;
  • Insights and behavioral scoring;
  • driving-related recommendations;
  • connected vehicle integrations;
  • notifications and alerts;
  • gamification or reward functionalities;
  • and location-aware features.

The Company may modify, improve, suspend, discontinue, or limit any part of the Services at any time for operational, legal, technical, security, or business reasons.

The Company does not guarantee uninterrupted availability of the Services.

6. Device, Sensor, and Connectivity Limitations

The Services may rely on:

  • Device sensors;
  • GPS signals;
  • Bluetooth;
  • mobile connectivity;
  • operating system permissions;
  • Third-Party Services;
  • connected vehicle technologies.

The End User acknowledges that:

  • telematics functionality may not always function continuously or accurately;
  • trip detection or analytics may occasionally fail, contain inaccuracies, or be delayed;
  • battery optimization settings, disabled permissions, weak connectivity, or Device limitations may affect functionality;
  • certain Services may not be available in all countries, regions, Devices, Vehicles, or operating systems.

The Company shall not be liable for inaccuracies, interruptions, or unavailability caused by such dependencies.

7. Safe and Lawful Use

The End User agrees to use the Services responsibly and in compliance with Applicable Law.

The End User shall not:

  • use the Services in a manner that distracts while driving;
  • rely on the Services as a substitute for safe driving practices or legal obligations;
  • misuse the Services in a manner that could endanger persons or property;
  • use the Services unlawfully.

The Services are informational tools only and do not replace driver judgment, emergency services, or vehicle safety systems.

8. Privacy and Data Processing

The Company may process Personal Data and Telematics Data in connection with provision of the Services.

All processing of Personal Data is governed by the applicable Privacy Policy.

These Terms do not regulate legal bases for processing, data subject rights, or other privacy-law matters, which are addressed separately in the Privacy Policy.

The End User acknowledges that certain functionalities may require access to:

  • location permissions;
  • motion and activity permissions;
  • Device sensors;
  • Telematics Data.

Disabling such permissions may limit or prevent functionality of the Services.

9. Third-Party Services

The Services may integrate with or rely upon Third-Party Services, including:

  • mobile operating systems; app stores;
  • mapping providers; insurers;
  • vehicle manufacturers;
  • fleet systems;
  • and cloud infrastructure providers.

The Company is not responsible for:

Third-Party Services;

  • third-party availability or uptime;
  • third-party acts or omissions;
  • compatibility with third-party technologies;
  • or third-party terms, policies, or practices.

Use of Third-Party Services may be subject to separate agreements with such providers.

10. Intellectual Property

The Services, including software, SDKs, algorithms, interfaces, analytics, trademarks, designs, databases, and Content, are owned by or licensed to the Company and protected by intellectual property laws.

Except for the limited usage rights expressly granted under these Terms, no ownership or intellectual property rights are transferred to the End User.

The End User may not use the Company's trademarks, logos, or branding without prior written authorization.

11. Feedback

If the End User provides suggestions, ideas, feedback, or recommendations relating to the Services, the Company may use such feedback without restriction or compensation.

12. Beta Features

The Company may provide beta, preview, experimental, or early-access functionalities.

Such functionalities may:

  • contain bugs or errors;
  • change substantially;
  • be incomplete;
  • or be discontinued without notice.

Beta functionalities are provided without warranties or service commitments.

13. Disclaimers

To the maximum extent permitted by Applicable Law, the Services are provided on an "as available" and "as is" basis.

The Company does not warrant that:

  • the Services will always be uninterrupted, secure, or error-free;
  • Insights or Telematics Data will always be accurate or complete;
  • the Services will meet specific expectations or requirements;
  • or the Services will be compatible with all Devices or Vehicles.

Any Insights, recommendations, analytics, or scores generated through the Services are informational only and shall not constitute guarantees, certifications, insurance assessments, or professional advice.

The Services are not emergency services and must not be relied upon for emergency assistance.

14. Limitation of Liability

To the maximum extent permitted by Applicable Law, the Company shall not be liable for:

  • indirect, incidental, consequential, punitive, or special damages;
  • loss of profits, goodwill, revenue, or data;
  • business interruption; inaccuracies in Telematics Data or Insights;
  • interrupted connectivity or GPS inaccuracies;
  • Device malfunctions; failures of Third-Party Services;
  • or inability to detect trips or driving events.

Nothing in these Terms excludes liability that cannot legally be excluded under Applicable Law.

To the extent permitted by Applicable Law, the Company's aggregate liability arising out of or relating to the Services shall not exceed the greater of (i) amounts paid by the End User to the Company during the six (6) months preceding the relevant claim*, or (ii) five hundred euros (EUR 500).

15. Indemnification

The End User agrees to indemnify and hold harmless the Company from claims, liabilities, damages, losses, and expenses arising from:

  • breach of these Terms; unlawful use of the Services;
  • misuse of the Services;
  • or infringement of third-party rights.

16. Suspension and Termination

The Company may suspend, restrict, or terminate access to the Services:

  • if required by Applicable Law;
  • for operational or security reasons;
  • in case of breach of these Terms; o
  • r to protect integrity or availability of the Services.

The End User may discontinue use of the Services at any time.

Provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law shall survive termination.

17. Changes to the Terms

The Company may amend these Terms from time to time. Where required by Applicable Law, material changes will be communicated through the Services, email, or other reasonable means. Continued use of the Services following effectiveness of updated Terms constitutes acceptance of the revised Terms.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Belgium, excluding conflict-of-law principles.

Any disputes arising from or relating to these Terms shall fall under the exclusive jurisdiction of the competent courts of Antwerp, Belgium, unless mandatory consumer protection laws provide otherwise.

19. App Store Terms

If the Application is downloaded through Apple App Store or Google Play:

  • these Terms are concluded solely between the End User and the Company;
  • Apple and Google are not responsible for the Services;
  • and app store providers may enforce rights available to them as third-party beneficiaries of these Terms.

20. Entire Agreement

These Terms constitute the entire agreement between the End User and the Company regarding use of the Services and supersede prior agreements relating to the same subject matter.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
